1. Introduction.

This terms of use Agreement will tell you the rules for using our website, www.treehouse.finance (the “Website"), the decentralized finance web-hosted platform interface and analytics dashboard (the “Platform Interface”), as well as any other website, community, blog, media form, media channel, or mobile website related, linked, or otherwise connected thereto (each a “Service” and collectively “Services”). The Services primarily consist, without limitation, of the Website and the Platform Interface, which allow you to connect a digital wallet (your “Wallet”) in order to track and monitor a DeFi Portfolio, as well as the aforementioned related and linked services.

The Services are operated by THF I Ltd (“Treehouse”, “we”, “our”, “us”). Throughout this document we refer to the terms of use as the "Terms". A reference to "you" or "your" is a reference to the user of the Services.

Please note Treehouse is a non-custodial platform and does not have access to your private key and cannot initiate a transfer on a blockchain or otherwise access your blockchain assets. Treehouse is not a broker or intermediary and is in no way your agent, advisor, or custodian, and we do not have a fiduciary relationship or obligation to you regarding any other decisions or activities that you effect when using your Wallet or the Services. We are not responsible for any activities that you engage in when using your Wallet, and you should understand the risks associated with using blockchain technologies.

2. By using the Services you accept these Terms.

2.1 By clicking on “Connect Wallet", entering your Wallet address, connecting your Wallet and/or browsing, accessing or using any content, information, services, features or resources available or enabled via the Services, you represent that you have read, understand, and accept all terms and conditions written in the Terms, so please make sure you take the time to read them. You must not use our Services if you disagree with any of these terms and conditions.

2.2 You must be at least 18 years of age to use the Services. By using the Services and accepting these Terms, you confirm that you are at least 18 years of age.

2.3 We recommend that you download and store a copy of these Terms for future reference. They are a legally binding agreement between you and us.

3. We may make changes to the Terms or the Services.

We amend these Terms from time to time, and will let you know when we do. Every time you wish to use our site, please check these Terms to ensure you understand the Terms that apply at that time. When you use our site, we’ll take that to mean that you accept any changes. We may also change the Services at any time.

4. Other terms that may apply to you.

What happens to your personal information and our use of cookies is covered under our Privacy Policy (which outlines how we manage your personal information). Please make sure you take the time to read it.

5. Availability of the Services.

5.1 In order to use the Platform Interface and access certain features of the Services you must already have a Wallet or wallet address that is supported by our Services. You cannot create a Wallet using the Services.

5.2 We aim to make the Services accessible to you at all times, but we do not guarantee that the Services, or any content on them, will always be available or will be uninterrupted. We may suspend access to the Services without notice at any time for any reason including to allow for maintenance and to update the content of the Services. We shall not be liable if the Services are not available at any time, for any reason.

5.3 We reserve the right to bar users from the Services and/or restrict or disable their access or use of any or all elements of the Services, on a permanent or temporary basis at our sole discretion.

6. The cost of the Services.

Treehouse reserves the right to charge for certain or all Services. We will notify you before any Services you are then using begin carrying a fee, and if you wish to continue using such Services, you must pay all applicable fees for such Services.

7. Acceptable use of the Services.

As a condition of use, you agree not to use the Services for any purpose that is prohibited by the Terms or by applicable law. You shall not (and shall not permit any third party) to take any action or make available any Content (as defined in 9.1) on or through our Services that:

  • (a) infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any person or entity;

  • (b) is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane;

  • (c) constitutes unauthorized or unsolicited advertising, junk or bulk e-mail;

  • (d) involves commercial activities and/or sales, such as contests, sweepstakes, barter, advertising, or pyramid schemes without Treehouse’s prior written consent;

  • (e) impersonates any person or entity, including any employee or representative of Treehouse;

  • (f) interferes with or attempt to interfere with the proper functioning of the Services or uses the Services in any way not expressly permitted by these Terms;

  • (g) jeopardizes the security of your Wallet or anyone else’s;

  • (h) attempts, in any manner, to obtain the private key, password, account, or other security information from any other user;

  • (i) attempts to access another user’s Wallet, private key or other security information on any third-party site or services that provide access to such user’s Wallet or private key on our Services; or

  • (j) attempts to engage in or engage in, any potentially harmful acts that are directed against the Services, including but not limited to violating or attempting to violate any security features of our Services, using manual or automated software or other means to access, “scrape,” “crawl” or “spider” any pages contained in our Services, introducing viruses, worms, or similar harmful code into our Services, or interfering or attempting to interfere with use of our Services by any other user, host or network, including by means of overloading, “flooding,” “spamming,” “mail bombing,” or “crashing” our Services.

8. Swap service

8.1 Swap is a feature that allows a user to swap digital tokens using the swap services offered by a third party, LI.FI, without having to leave the Website (“Swap Service”). By using the Swap Service, you acknowledge and agree that:

  • (a) the Swap Service is a product solely offered by LI.FI and not Treehouse;

  • (b) the Swap Service is provided by LI.FI to you on an "as is" and "as available" basis with no representations or warranties of accuracy, merchantability, or fitness for a particular purpose;

  • (c) you shall abide by all terms, conditions and requirements as may be required by LI.FI;

  • (d) you shall not use Swap Service if it is illegal, prohibited or in any way restricted under the laws applicable to you;

  • (e) you shall not hold Treehouse (or any affiliates) liable in respect of any claim associated with Swap Service and your use of Swap Service; and

  • (f) you are aware of all possible risks involved in using the Swap Service.

8.2 Treehouse reserves the right to collect fees for marketing, routing, positive slippage, and other fees for displaying such third party providers.

9. Third party links and interaction with other users.

8.1 Where the Services contain links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

8.2 You are solely responsible for your interactions with other users of the Services and any other parties with whom you interact; provided, however, that Treehouse reserves the right, but has no obligation, to intercede in such disputes. You agree that Treehouse will not be responsible for any liability incurred as the result of such interactions.

8.3 The Services may contain content provided by other users of the Services. Treehouse is not responsible for and does not control content produced by users. Treehouse has no obligation to review or monitor, and does not approve, endorse or make any representations or warranties with respect to, content produced by users.

10. Your content and feedback.

9.1 Content is any information, data, text, software, music, sound, photographs, graphics, video, messages, tags and/or other materials accessible through our Services (“Content”).

9.2 You acknowledge that all Content, is the sole responsibility of the party from whom such Content originated. This means that you, and not Treehouse, are entirely responsible for all Content that you upload, post, e-mail, transmit or otherwise make available through the Services (“Your Content”).

9.3 Treehouse does not claim ownership of Your Content. However, when you as a user of the Services post or publish Your Content on or in the Services, you represent that you own and/or have a royalty-free, perpetual, irrevocable, worldwide, non-exclusive right (including any moral rights) and license to use, license, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, derive revenue or other remuneration from, and communicate to the public, perform and display Your Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed, for the full term of any worldwide intellectual property right that may exist in Your Content.

9.4 You agree that submission of any ideas, suggestions, documents, and/or proposals to Treehouse through Discord or otherwise through the Website or its suggestion, feedback, feature request, blog, community, forum, or similar pages (“Feedback”) is at your own risk and that Treehouse has no obligations with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback. You hereby grant to Treehouse a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, reproduce, display, distribute, adapt, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback, and to sublicense the foregoing rights, in connection with the operation and maintenance of the Services.

11. Intellectual property rights.

10.1 The “Treehouse” and “Treehouse Finance” name and logos and all other brands, names, logos, marks and slogans on our Services are the trade marks or service marks of us or our licensors.

10.2 Unless otherwise stated, the copyright, database rights and any other rights in all information, data, text and images (together "Materials") on the Services and the design and appearance of our Services are owned by us or licensed to us by our suppliers. You are permitted to use and download such Materials or extracts from this website to a local hard disk and print copies for your own internal, personal, non-commercial, private use only.

10.3 Except as we expressly permit, you must not in any way modify any Materials on the Services.

12. Indemnification

You agree to indemnify and hold Treehouse, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors harmless from any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of any and all of the following:

  • (a) your Content;

  • (b) your use of, or inability to use, any of the Services;

  • (c) your violation of these Terms;

  • (d) your violation of any rights of another party, including any other users of the Services; or

  • (e) your violation of any applicable laws, rules or regulations.

13. Assumption of risk.

12.1 In order to be successfully completed, any blockchain transaction created with or sent to your Wallet must be confirmed and recorded on the blockchain associated. Treehouse has no control over any blockchain and therefore cannot and does not ensure that any transaction details that you submit or receive via the Services will be confirmed on the relevant blockchain and does not have the ability to facilitate any cancellation or modification requests.

12.2 You accept and acknowledge that you take full responsibility for all activities that occur under your Wallet and accept all risks of loss or any authorized or unauthorized access to your Wallet, to the maximum extent permitted by law. You further accept and acknowledge that you:

  • (a) have the necessary technical expertise and ability to review and evaluate the security, integrity and operation of your Wallet;

  • (b) have the knowledge, experience, understanding, professional advice and information to make your own evaluation of the merits, risks and applicable compliance requirements under applicable laws of any use of your Wallet;

  • (c) know, understand and accept the risks associated with your Wallet;

  • (d) accept the risks associated with blockchain technology generally and are responsible for conducting your own independent analysis of the risks specific to the blockchain you are using. You further agree that Treehouse will have no responsibility or liability for such risks. You hereby irrevocably waive, release and discharge all claims, whether known or unknown to you, against Treehouse and its affiliates related to any of the risks set forth herein.

12.3 The prices of blockchain assets are extremely volatile. Treehouse makes no warranties as to the markets in which blockchain assets are purchased, or traded.

12.4 You are solely responsible for determining what, if any, taxes apply to your blockchain transactions. Treehouse is not responsible for determining the taxes that apply to your blockchain transactions.

12.5 The regulatory regime governing blockchain technologies, cryptocurrencies, and tokens is uncertain, and new regulations or policies may materially adversely affect the development of our Services.

12.6 Treehouse makes no guarantee as to the security of any blockchain. Treehouse is not liable for any hacks, double spending, stolen blockchain assets, or any other attacks on a blockchain.

12.7 Some of our Services rely on third-party Wallet platforms (such as MetaMask and Binance Chain Wallet), Treehouse makes no guarantee or warranties as to the functionality of or access to any such third-party Wallet platforms.

14. Disclaimer and limitation of liability.

13.1 We cannot guarantee that our Services are free from viruses or other malicious code and we do not accept liability in the event that your computer, software or data is damaged. If any information contained or presented on our Services is inaccurate we exclude liability for loss to the extent allowed by law.

13.2 We provide access to the Services on the basis that all conditions, warranties or other terms which might have effect between the parties or be implied or incorporated into this legal notice whether by statute, common law or otherwise, are hereby excluded, including, without limitation, the implied conditions, warranties or other terms as to satisfactory quality, fitness for purpose or the use of reasonable skill and care.

13.3 We shall not be liable for any direct or indirect liability for any claims, losses, demands or damages that you or a third party may incur in connection with using or not being able to use our Services. However, nothing in these terms shall impact our liability for:

  • (a) death or personal injury caused by our negligence; or

  • (b) fraud or fraudulent misrepresentation; or

  • (c) any liability the extent of which cannot be excluded or limited under applicable law.

15. Don’t rely on the Services for advice.

14.1 We aim to ensure that the information provided on the Services is up to date and accurate. However, we cannot guarantee this and neither can we guarantee that it is suitable for your purpose.

14.2 The Services are provided for informational, educational, and entertainment purposes only. We are not securities brokers/dealers, crypto asset brokers/dealers, or financial advisers, analysts, or planners. We are neither licensed nor qualified to provide investment advice.

14.3 The information contained within the Services is not an offer to buy or sell securities, or any other assets and does not constitute financial advice, investment advice, trading advice or any other advice or recommendation. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Services.

14.4 Nothing within the Services takes into account the particular investment objectives, financial situations, or needs of individuals; therefore, it should not be construed as a personal recommendation.

16. Rules about linking to our site.

15.1 You may link to our Website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

15.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

15.3 We reserve the right to withdraw linking permission without notice.

17. Term and termination.

16.1 The Agreement commences on the date when you accept the Terms (as described in the Clause 2 above) and remain in full force and effect while you use the Services, unless terminated earlier in accordance with the Agreement.

16.2 Treehouse is free to terminate (or suspend access to) your use of the Services for any reason at our discretion, including your breach of these Terms. Treehouse has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms. If we suspend your use of the Services, you may continue to access your Wallet directly or through other services not hosted by us. Treehouse will not have any liability whatsoever to you for any suspension or termination.

16.3 If you want to terminate the Services provided by Treehouse, you may do so by disconnecting your Wallet and logging out of or unsubscribing from all of the Services that you use at any time. You may continue to access your Wallet directly or through other services not hosted by us.

16.4 All provisions of the Agreement which by their nature should survive, shall survive termination of the Services, including without limitation, warranty disclaimers, and limitation of liability.

16.5 If your ability to access our Services, including any Treehouse community, is discontinued by Treehouse due to your violation of any portion of the Terms or for conduct otherwise inappropriate for the community, then you agree that you shall not attempt to access the Services through use of a different Wallet, member name or otherwise. In the event that you violate the immediately preceding sentence, Treehouse reserves the right, in its sole discretion, to immediately take any or all of the actions set out in these Terms without any notice or warning to you.

18. International users.

The Services can be accessed from countries around the world and may contain references to services and content that are not available in your country. These references do not imply that Treehouse intends to announce such services or content in your country. Treehouse makes no representations that our Services are appropriate or available for use in your location. When you access our Services from your location you do so at your own volition and you are responsible for compliance with local law.

19. General.

18.1 Assignment. The Agreement, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated or otherwise transferred by you without Treehouse’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.

18.2 Force Majeure. Treehouse shall not be liable for any delay or failure to perform resulting from uses outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

18.3 Waiver. Any waiver or failure to enforce any provision of the Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.

18.4 Severability. If any portion of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.

18.5 Entire Agreement. This Agreement is the final, complete and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussion between the parties with respect to such subject matter.

18.6 Governing Law. Please note that these Terms, their subject matter and their formation, are governed by the laws of Singapore. Unless otherwise required by applicable laws, any dispute, claim or difference of any kind whatsoever arising out of or relating to these Terms shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre. There will be one arbitrator and the language of the arbitration shall be English.
